Terms of Service

By creating a Grizzly Signal account or using our service in any way, you agree to these terms. If you don't agree, don't use the service.

The service

Grizzly Signal — operated by Grizzly Digital Media ("we," "us," or "Grizzly Signal") — provides server-side conversion infrastructure that helps advertisers improve the quality of conversion signals delivered to platforms like Meta Conversions API. The service includes a JavaScript pixel, REST ingest endpoints, a client portal, and supporting documentation. We may modify, expand, or restrict features at any time.

Your account

You ("you," "client") are responsible for maintaining the confidentiality of your account credentials, your API key, and your Meta access token. You're responsible for all activity that occurs under your account. Notify us at hello@grizzlysignal.com immediately if you suspect unauthorized access.

Acceptable use

• You may only use the service for lawful advertising activity that complies with the policies of the platforms you advertise on (Meta, Google, TikTok, etc.) and the laws of the jurisdictions where you operate
• No health-condition data may be sent through the service unless your account has Health & Wellness compliance mode enabled. Sending sensitive health information without that mode active is a violation of these terms and of Meta's policies
• No illegal products or services — controlled substances, unlicensed financial products, weapons, fraudulent offers, or anything that violates Meta's prohibited content policies
• You must obtain all necessary consent from your visitors before deploying our pixel on your sites, in accordance with applicable privacy law (GDPR, CCPA, PIPEDA, etc.). You are the data controller; we are the processor
• You may not reverse-engineer, scrape, or attempt unauthorized access to any part of our infrastructure
• You may not resell or sublicense the service without a written reseller agreement with us

Billing

• Subscriptions are billed monthly in advance via Stripe at the rate listed for your selected plan
• No refunds on the current billing period. Cancellations take effect at the end of the period in which you cancel
• You can cancel any time through the billing portal in your client dashboard
• After cancellation we maintain a 72-hour grace period during which your pixel and webhooks continue to function so you can complete in-flight campaigns and remove our snippet from your site
• Failed payments may result in suspension of service. Repeated failures may result in account termination

Limitation of liability

The service is provided "as is." To the maximum extent permitted by law:

• Grizzly Signal is not liable for the performance of your advertising campaigns. Many factors influence ad performance; we improve signal quality but cannot guarantee outcomes
• Grizzly Signal is not liable for changes to Meta's policies, APIs, attribution windows, or pixel infrastructure that affect what our service can deliver
• Grizzly Signal is not liable for data loss beyond what is recoverable from our 90-day retention window. You should not rely on us as a system of record
• Our total aggregate liability for any claim related to the service is limited to the amount you paid us in the three months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages

Termination

• You may terminate your account at any time via the billing portal
• We may terminate accounts that violate these terms or engage in fraudulent activity immediately and without notice
• For non-violation terminations (such as discontinuing the service), we will give you at least 30 days notice via email
• On termination, we delete your active session data within 72 hours and your account data per the retention schedule in our Privacy Policy

Intellectual property

The Grizzly Signal name, logo, pixel code, server code, dashboard, documentation, and all related materials are owned by Grizzly Digital Media. You receive a non-exclusive, non-transferable license to use the service during your subscription. We claim no ownership over your data, your visitors' data, or any content you process through the service.

Indemnification

You agree to indemnify and hold harmless Grizzly Digital Media against claims arising from your misuse of the service, your violation of these terms, or your violation of any third-party rights or applicable law (including consent and privacy law for the visitors of the sites where you deploy our pixel).

Governing law

These terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-laws principles. Any dispute arising from these terms or the service will be resolved in the state or federal courts located in Utah, and you consent to that jurisdiction.

Changes to these terms

We may update these terms from time to time. We will give you at least 30 days notice via email before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.
